The Seller strictly warrants and represents that the vehicle is entirely free and clear of all encumbrances, including outstanding auto loans, financial title retentions, mortgages, pledges, tax attachments, court seizures, or third-party claims, and that full unencumbered ownership can be transferred to KMC JAPAN.

査定・価格提示および売主の重要告知義務

Appraisal, Quotation & Seller’s Mandatory Disclosure

Preliminary estimates provided via website, LINE, or phone are non-binding estimates based on seller-submitted data and do not constitute a binding promise of purchase.

The definitive purchase price is determined after our certified assessor inspects the physical vehicle, including body panels, chassis frame, engine, transmission, mileage, accessories, and documentation.

Strict Mandatory Disclosure Obligation: The Seller is under a legal obligation to disclose all known structural frame repairs, collision history, flood/water damage, fire damage, odometer alterations or replacements, transmission/engine defects, cleared diagnostic warning lights, past theft history, and illegal modifications.

If undisclosed defects or misrepresentations are discovered after contract signing or delivery, KMC JAPAN reserves the full legal right to unilaterally reduce the purchase price, rescind the contract without notice, demand immediate refund of all paid funds, and recover all consequential transport, holding, and inspection damages.

Mandatory Seller Disclosures (Concealment Prohibited): The Seller must accurately inform KMC JAPAN of any history matching the following items:
  • Structural frame damage, collision repair history, chassis replacement, or welded car status
  • Flood submersion, water ingress, fire damage, severe hail impact, or heavy salt rust corrosion
  • Odometer alterations, meter rollbacks, instrument replacement, or mileage discrepancy
  • Engine, transmission, hybrid system fatal defects, or intentional clearing of warning lights
  • Stolen history, illegal modifications, or tampering with the Vehicle Identification Number (VIN)

売買契約の成立および危険負担の移転

Contract Formation & Transfer of Risk of Loss

A binding Vehicle Purchase Agreement is formally concluded when the Seller agrees to the firm purchase price and signs the agreement (or executes verified digital consent).

Transfer of Title and Risk of Loss: Full ownership and the risk of loss (accidental loss, theft, traffic accident, damage, weather deterioration, or mechanical breakdown) transfer from the Seller to KMC JAPAN only upon physical delivery of BOTH the vehicle and all required registration transfer documents.

Pursuant to Article 536 of the Civil Code of Japan, the Seller bears all risk of accidental damage, deterioration, theft, or component removal occurring between contract signing and physical vehicle handover. If the vehicle is damaged or depreciated prior to collection, KMC JAPAN is entitled to adjust the price or terminate the contract without liability.

The Seller must preserve the vehicle in the condition appraised with the duty of care of a prudent manager until collection. KMC JAPAN reserves the right to re-appraise or cancel if significant deterioration occurs.

Required Documents & Statutory Liabilities

The Seller must deliver all statutory documents (original Shakensho, insurance certificate, seal certificate issued within 3 months, registered seal on transfer deed, power of attorney, etc.) required for official title transfer or deregistration within 7 days of contract signing.

If the Seller fails to provide valid documents without justifiable cause, KMC JAPAN may suspend purchase payment or cancel the contract, charging holding damages (storage fee of JPY 3,000 per day plus carrier fees).

Liability for Prior Fines and Taxes: The Seller bears sole legal and financial responsibility for all unpaid parking violation fines (Houchi Ihankin), delinquent vehicle taxes, toll evasion fines, or traffic penalties incurred prior to vehicle delivery. If registration is blocked, the Seller must clear all penalties immediately; if KMC JAPAN pays on their behalf, the Seller must reimburse KMC JAPAN in full immediately.

車内遺留物の所有権放棄および個人データ消去

Waiver of Leftover Belongings & Personal Data Deletion

The Seller must remove all personal belongings, cash, valuables, ETC cards, media discs, dashcam memory cards, documents, tools, and garbage from the vehicle prior to handover.

The Seller is strictly responsible for initializing and erasing all personal data, home addresses, phonebooks, GPS history, and Bluetooth pairings stored in the vehicle’s navigation or dashcam systems prior to delivery.

Unconditional Abandonment of Leftovers: Any personal effects, items, or aftermarket attachments remaining in the vehicle after physical delivery are deemed unconditionally abandoned. KMC JAPAN reserves the complete right to discard, scrap, or sell such items immediately without notice, and the Seller explicitly waives all claims for return, safekeeping, or compensation.

If disposal of abandoned materials (waste tires, hazardous trash, large industrial garbage) incurs extraordinary fees, KMC JAPAN may bill the Seller for actual disposal costs.

Leftover Items Disclaimer: Any ETC cards, cash, dashcams, or items remaining in the vehicle after delivery are deemed unconditionally abandoned and will be discarded immediately without liability.

Right of Set-Off: If KMC JAPAN incurs costs on behalf of the Seller (such as loan payoff settlements, cleared parking fines, tax arrears, breach damages, or waste disposal fees), KMC JAPAN is entitled to set off and deduct such sums directly from the purchase price.

クーリングオフ適用除外および契約解除・キャンセル規定

Exclusion of Cooling-Off & Cancellation Policy

Statutory Exclusion of Cooling-Off: Motor vehicle purchase transactions are expressly exempt from the statutory cooling-off regime under Article 58-14 of the Specified Commercial Transactions Act and Article 17 of its Enforcement Order. Once signed, contracts cannot be rescinded on cooling-off grounds.

Appraisal Stage Cancellation: Prior to signing the purchase agreement, the customer may decline or cancel the appraisal at any time completely free of charge.

Restrictions on Cancellation Post-Contract: Once the purchase contract is executed, cancellation for the Seller’s convenience is strictly prohibited. If KMC JAPAN exceptionally grants consent in writing prior to 12:00 PM on the day before scheduled towing, the Seller must pay a cancellation penalty (JPY 30,000 or 10% of the contract price, whichever is higher, plus incurred out-of-pocket logistics fees).

Absolute Bar on Cancellation After Delivery: Once the vehicle is physically collected or statutory deregistration, dismantling, or export procedures have begun, cancellation is legally and operationally impossible under any circumstances.

Termination by KMC JAPAN: In the event of material misrepresentation, failure to supply documents, association with organized crime, or third-party attachments, KMC JAPAN may rescind the contract immediately without notice and demand full restitution and compensatory damages.

Cooling-off Statutory Exemption: Under Article 17 of the Specified Commercial Transactions Act Enforcement Order, motor vehicles are explicitly excluded from the cooling-off regime.
第 9 条

契約不適合責任および損害賠償請求

Defect Liability (Contract Non-Conformity) & Remedies

Pursuant to Articles 562 through 564 of the Civil Code of Japan, the Seller is strictly liable for any lack of conformity (latent structural defects, concealed accident history, non-genuine mileage, or title defects) regarding the vehicle.

If undisclosed frame damage, flood ingress, odometer rollback, internal engine/transmission failure, welded body seams, or stolen vehicle status are discovered post-handover, KMC JAPAN is entitled to enforce:

1. Demand for purchase price reduction commensurate with diminished market value

2. Rescission of the contract and immediate full restitution of all paid purchase amounts

3. Full compensation for transit freight, storage, re-inspection, administrative, and legal fees

The Seller remains liable provided KMC JAPAN notifies the Seller within one year from the date KMC JAPAN discovers such non-conformity.
